Terms of Service
These Terms of Service (“Terms”) govern your use of the services provided by Cyberstaff Ltd (“Cyberstaff”, “we”, “us” or “our”). By using the Services, you agree to these Terms. If you use the Services on behalf of an organisation, you confirm that you have authority to bind that organisation.
1. The Services
Cyberstaff provides AI-powered communications, automation and related services (the “Services”). We may add, remove, modify or replace features and functionality from time to time.
You may use the Services only in accordance with these Terms and applicable law.
2. Accounts
You are responsible for information provided through your account, maintaining the security of your account and credentials, and activity carried out through your account or by people you authorise to use it.
You must promptly tell us if you believe your account has been compromised.
3. Use of the Services
You must not use the Services unlawfully, fraudulently, to infringe the rights of others, to gain unauthorised access to systems or data, to distribute malicious code, to circumvent security or usage restrictions, or in a way that materially interferes with or creates a risk to the Services or others.
You are responsible for your use of the Services and for ensuring that you have any rights, permissions, lawful bases or consents required for information and communications you process through them.
Where Cyberstaff processes personal data on your behalf, our DPA applies and forms part of these Terms.
4. Fees
You agree to pay the fees and charges presented to you or otherwise agreed for the Services.
We may change our pricing, plans, usage allowances and billing arrangements from time to time. Unless otherwise stated, payments are non-refundable except where required by law.
5. Intellectual Property
Cyberstaff and its licensors own all rights in the Services and our technology, software, systems, models, documentation, branding and related intellectual property.
Subject to these Terms and any applicable fees, we grant you a limited, non-exclusive, non-transferable right to use the Services for your business purposes.
If you provide feedback or suggestions about Cyberstaff, we may use them without restriction or obligation to you.
6. Third-Party Services
The Services may integrate with or depend upon third-party products and services.
We are not responsible for third-party products or services that we do not control, including their availability, performance or changes to them. Your use of third-party services may also be subject to their own terms.
7. Confidentiality and Security
Each party will use reasonable care to protect confidential information received from the other and will use it only for purposes connected with the Services, except where disclosure is required by law or the information is otherwise lawfully available without restriction.
Cyberstaff will maintain technical and organisational measures appropriate to the nature of the Services and relevant risks. No internet-connected service can be guaranteed to be completely secure.
Additional provisions concerning personal data processed on your behalf are set out in the DPA.
8. Customer Content
“Customer Content” means content, information and data provided to, transmitted through or generated through your use of the Services.
As between you and Cyberstaff, you retain your rights in Customer Content.
You grant Cyberstaff a worldwide, non-exclusive, royalty-free licence to host, copy, process, transmit, reproduce, modify and otherwise use Customer Content as necessary to provide, operate, secure, support, analyse, develop and improve the Services and our related technologies, products and services, including our AI systems and models, and to use service providers for those purposes.
You confirm that you have the rights and permissions necessary to provide Customer Content to Cyberstaff, instruct us to process it and grant the rights set out in these Terms.
Where our use of Customer Content involves personal data for purposes for which Cyberstaff determines the purposes and means of processing, that processing is described in our Privacy Policy.
9. Suspension and Termination
You may stop using the Services at any time and may cancel your subscription in accordance with the applicable subscription or ordering arrangements.
We may suspend or terminate access where you materially breach these Terms, fail to pay amounts due, create a material security, legal or operational risk, or where suspension or termination is reasonably necessary to comply with law or protect Cyberstaff, the Services or others.
Provisions which by their nature are intended to survive termination will continue to apply.
10. Warranties and Disclaimers
We will provide the Services with reasonable care and skill.
AI and communications technologies are not error-free. To the fullest extent permitted by law, we do not guarantee that the Services will always be uninterrupted, available or accurate, that communications will always be successfully completed, or that outputs generated by the Services will always be complete or correct.
Except as expressly stated in these Terms, we exclude warranties and representations to the fullest extent permitted by law.
11. Liability
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation.
Subject to that, neither party will be liable for indirect or consequential loss or for loss of profit, revenue, business, goodwill or anticipated savings.
Cyberstaff's total aggregate liability arising out of or in connection with the Services or these Terms will not exceed the amount paid by you to Cyberstaff during the twelve months preceding the event giving rise to the claim.
12. Your Responsibility to Cyberstaff
You will be responsible for losses, claims and liabilities arising from your unlawful use of the Services, your Customer Content or your material breach of these Terms.
For business customers, you will indemnify Cyberstaff against third-party claims, regulatory claims, liabilities and reasonable legal costs arising from your Customer Content, your infringement of third-party rights, or your failure to obtain rights, permissions, lawful bases, notices or consents required for your use of the Services, except to the extent the claim results directly from Cyberstaff's breach of these Terms, the DPA or applicable law.
13. General
We may update these Terms from time to time, including to reflect changes to the Services, our business or applicable law. Where appropriate, we will provide reasonable notice of material changes.
Neither party may assign these Terms without the other's consent, except that Cyberstaff may assign them in connection with a corporate reorganisation, financing, merger, acquisition or sale of all or substantially all of the relevant business or assets.
We may use affiliates and contractors to perform our obligations.
If any provision is unenforceable, the remaining provisions will continue in effect. A failure to enforce a provision is not a waiver of it.
These Terms and the documents incorporated into them constitute the agreement between the parties concerning the Services and supersede previous agreements concerning the same subject matter.
These Terms and any non-contractual obligations arising from them are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction, except where applicable law requires otherwise.
Questions about these Terms may be sent to [email protected].
